Business Formations

Sole Proprietorship

This is an unincorporated business owned and run by one individual with no distinction between the business and you, the owner. You are entitled to all profits and are responsible for all your business's debts, losses and liabilities. There are no partners, shares or membership interests in a sole proprietorship so it's generally difficult to attract investors without changing your business structure.

Limited Liability Company (LLC)

This is the easiest and most flexible way to start your business. The LLC is a business entity created under state law that combines characteristics of both a corporation and a partnership. There are fewer formalities and legal requirements such as no board meetings detailing how every company decision is made. The LLC does not pay taxes on it profits, but instead, profits and losses are passed through to the owners, who must pay tax on their share of LLC income.

Corporation (Inc.)

This is a form of a business operation that declares the business a separate, legal entity guided by a group of officers known as the board of directors. A corporate structure is perhaps the most advantageous way to start a business because the corporation exists as a separate entity. If you have plans to raise money or planning a big exit, this may be the route for you. With these stringent formalities, it gives investors the knowledge they desire about how your company is ran. The IRS will allow you to choose to be taxed either as a C-corporation or and S-corporation.

Doing Business As (DBA)

The operating name of a company, as opposed to the legal name of the company. Some states require DBA or fictitious business name filings conducting business with the entity. This helps with complying with legal requirements your state may require, allow you to open a business bank account in the DBA name and help distinguish new business revenue generated.

This is also known as a non-business entity and is dedicated to furthering a cause or advocating a point of view. The organization uses the surplus of revenues to further achieve its objective rather than distributing income to is shareholders/management. To qualify, the nonprofit must meet IRS requirements.
